Welcome to VALO Vietnam, These Terms of Use govern your access to and use of our platform and services. By accessing VALO, you agree to these Terms.

1. Definitions

• “VALO” refers to NFJ Digital Solutions Company Limited’s online platform.

• “Users” include buyers, suppliers, and site visitors.

2. Eligibility

You must be at least 18 years old and legally capable of forming contracts.

3. Scope of Service

VALO connects buyers with Vietnamese suppliers. We are not involved in transactions, logistics, payment, or quality assurance.

4. Disclaimer of Responsibility

VALO does not endorse, verify, or guarantee the accuracy, quality, legality, or safety of any products, services, or supplier information displayed on the platform. All product listings, company information, and related content are provided by the suppliers themselves. Suppliers are solely responsible for ensuring the accuracy and legality of the content they submit. Buyers are advised to conduct independent due diligence before engaging in any transaction.

5. User Obligations

Users agree to:

• Provide accurate and lawful information

• Use the platform only for legitimate business purposes

• Not engage in fraud, infringement, or unlawful activities

6. Responsibilities of Suppliers and Buyers

• Suppliers are solely responsible for the accuracy, legality, and completeness of the content they upload to the platform. This includes, but is not limited to, product descriptions, images, specifications, certifications, and company details. Suppliers must ensure that their content complies with all applicable laws and does not infringe on third-party rights. VALO reserves the right to temporarily disable or suspend a supplier’s profile if the submitted content does not meet our standards for accuracy, transparency, or visual quality. The profile may be reinstated once the required improvements are made. Suppliers must not use the platform to market restricted, counterfeit, or fraudulent products. All suppliers must comply with local and international export laws and sanctions regulations.

• Buyers are responsible for conducting independent due diligence before engaging with any supplier. This includes verifying product claims, negotiating transaction terms, and ensuring the legal and regulatory compliance of products they intend to import or purchase. Buyers must not use the platform to circumvent legal restrictions or facilitate transactions with sanctioned parties.

7. Intellectual Property

All VALO content is owned by NFJ Digital Solutions. Do not copy or reuse without written permission. By uploading content (e.g., product images, descriptions), suppliers grant VALO a non-exclusive, royalty-free, worldwide license to use and display the content for marketing and promotional purposes.

8. Disclaimer

VALO provides information “as is.” We do not guarantee availability, accuracy, or supplier performance. We are not responsible for third-party platforms or tools integrated with our platform (e.g., Google, Klaviyo).

9. Limitation of Liability

VALO is not liable for any indirect, incidental, or consequential damages.

10. Termination

• We may suspend or terminate accounts that violate our Terms or our content standards. Supplier profiles may be temporarily disabled if content or behavior does not meet VALO quality standards.

• VALO follows a three-strike policy for supplier violations. After three documented violations, we reserve the right to suspend or delete the supplier account permanently.

• Refund Policy for Cancellations: If a supplier account is terminated due to a violation of these Terms or content standards, VALO will not refund any subscription or service fees already paid.

11. Governing Law

These Terms are governed by Vietnamese law.
