Selling Policy

I. PRINCIPLES AND SCOPE

  • Products listed on the VALO B2B Platform, excluding services provided directly by VALO to Users, are owned and remain the sole responsibility of the Users who post them.
  • VALO acts only as an intermediary, providing an online platform to showcase products and connect parties wishing to transact. VALO does not directly assume responsibility for any products posted and provided by Users.
  • Users utilizing the VALO B2B Platform to buy, sell, or supply products must ensure that all product information is accurate, truthful, and not within categories prohibited by law or VALO’s Operating Policy.
  • For products subject to conditional business requirements, Users must ensure full compliance with all relevant conditions and licenses as required by law before distributing or selling such products.

II. REGULATIONS ON PRODUCT SALES

  1. Product Listing
    • Users must provide complete product information including: name, description, images, specifications, pricing, and trading conditions.
    • Information must be accurate, truthful, and regularly updated.
  2. Product Quality
    • Users are fully responsible for the quality, origin, and legality of the products they list.
    • Products must meet quality standards as required by Vietnamese law and, where applicable, international regulations.
  3. Licenses and Documentation
    • For products requiring licenses (e.g., food, pharmaceuticals, chemicals, specialized equipment), Users must maintain valid legal documentation.
    • Users must provide certificates of origin, invoices, or related documents when requested.
  4. Prohibited and Restricted Goods
    • It is strictly prohibited to list products in categories banned from trading or advertising under Vietnamese law.
    • Restricted goods may only be listed if all required legal permits are in place.

III. REGULATIONS FOR SELLERS

  1. Business Information
    • Sellers must complete enterprise account registration with full legal documentation (tax code, business license).
    • Sellers are responsible for promptly updating any changes in legal information, contact address, or authorized representative.
  2. Product Responsibility
    • Sellers must ensure the legality, quality, and clear origin of all products listed.
    • Sellers are liable for complaints, disputes, or consequences arising from the products/services they provide.
  3. Storefront Management
    • Sellers must maintain their storefronts regularly, updating products, prices, and stock levels.
    • Sellers must respond promptly to quotation requests, messages, or complaints from Buyers.
  4. Policy Compliance
    • Sellers commit to complying with VALO’s Operating Rules and Policies.
    • In case of violations, VALO reserves the right to issue warnings, suspend, or terminate the account.

IV. REGULATIONS FOR BUYERS

  1. Account Registration and Information
    • Buyers must provide accurate information during registration and while using services.
    • Buyers are responsible for safeguarding their accounts, passwords, and login credentials.
  2. Purchasing Activities
    • Buyers must carefully verify product information before submitting Requests for Quotation (RFQs) or confirming orders.
    • Buyers are responsible for making full and timely payments for confirmed orders.
  3. Rights and Responsibilities
    • Buyers have the right to request invoices and documents related to purchased products.
    • Buyers must not engage in fraudulent conduct, create confusion, or cause harm to Sellers or VALO.
  4. Policy Compliance
    • Buyers commit to complying with VALO’s Product Sales Policy and Operating Rules.
    • In case of violations, Buyer accounts may be warned, suspended, or terminated.

V. RESPONSIBILITIES AND AUTHORITY OF VALO

  1. VALO’s Responsibilities
    • Provide a safe, transparent, and stable online trading platform for Users.
    • Establish and maintain monitoring systems to prevent products/services that violate the law or VALO’s policies.
    • Protect User information and transaction data in compliance with laws and VALO’s Privacy Policy.
    • Support in handling complaints and disputes between Buyers and Sellers within the scope of its intermediary role.
  2. VALO’s Authority
    • Reserve the right to inspect, monitor, and request additional information from Buyers/Sellers when necessary.
    • Reserve the right to remove, hide, or reject products/services in violation.
    • Reserve the right to warn, suspend, or terminate User accounts engaged in violations.
    • Reserve the right to update and amend policies and regulations, publishing them publicly on the Platform.

VI. VIOLATION HANDLING MECHANISM

  1. General Principles
    • Any violation of VALO’s Product Sales Policy or Operating Rules will be reviewed and handled fairly and transparently.
    • The handling of violations aims to protect a safe and trustworthy trading environment for all Users.
  2. Forms of Handling
    • Warning: Notify the User of the violation, requiring correction.
    • Account Suspension: Temporarily lock the account for a defined period to investigate and resolve issues.
    • Account Termination: Permanently delete the account and related content in cases of serious or repeated violations.
    • Compensation for Damages: Users causing damages, financially or reputationally, are responsible for compensation.
  3. Reporting to Authorities
    • In cases where violations indicate a breach of law, VALO will escalate and cooperate with competent state authorities for enforcement.
